Terms of Service

Article 1 (Application)

These Terms of Service set forth the conditions of use for the calendar application (hereinafter referred to as "the Service") provided by Nexus Inc. (hereinafter referred to as "the Company"). Registered users (hereinafter referred to as "Users") shall use the Service in accordance with these Terms.

Article 2 (User Registration)

  1. 1.Those who wish to use the Service shall agree to these Terms, apply for user registration through the method prescribed by the Company, and registration shall be completed upon approval by the Company.
  2. 2.The Company may decline to approve a registration application if it determines that the applicant falls under any of the following:

Article 3 (Management of User ID and Password)

  1. 1.Users shall properly manage their User ID and password for the Service at their own responsibility.
  2. 2.Users shall not, under any circumstances, transfer or lend their User ID and password to any third party.
  3. 3.The Company shall not be liable for any damages arising from the use of a User ID and password by a third party, except in cases of intentional misconduct or gross negligence on the part of the Company.

Article 4 (Usage Fees and Payment Methods)

  1. 1.The Service adopts a pay-per-use billing model, where Users shall make payment each time they use a specific paid feature.
  2. 2.Usage fees once paid shall not be refundable regardless of the reason. However, this shall not apply where a refund is required by legal obligation.
  3. 3.If payment of fees cannot be confirmed, the Company may restrict or suspend access to the relevant paid features.
  4. 4.When payment is made through an app store (Apple App Store, Google Play Store), the payment policies and terms of each store shall apply.

Article 5 (Prohibited Activities)

Users shall not engage in the following activities when using the Service:

  1. 1.Activities that violate laws or public order and morals
  2. 2.Activities related to criminal acts
  3. 3.Activities that infringe upon the intellectual property rights, portrait rights, privacy, reputation, or other rights or interests of the Company, other Users of the Service, or third parties
  4. 4.Posting or transmitting content that includes excessively violent expressions, explicit sexual expressions, expressions that lead to discrimination based on race, nationality, creed, gender, social status, or family origin, expressions that induce or promote suicide, self-harm, or drug abuse, or other antisocial content that causes discomfort to others
  5. 5.Activities for the purpose of sales, advertising, solicitation, or other commercial purposes (except those approved by the Company)
  6. 6.Activities that collect or accumulate personal information of other Users
  7. 7.Unauthorized access or attempts thereof
  8. 8.Impersonating other Users
  9. 9.Activities aimed at meeting or dating strangers of the opposite sex
  10. 10.Activities that directly or indirectly provide benefits to antisocial forces in connection with the Company's services
  11. 11.Other activities deemed inappropriate by the Company

Article 6 (Copyright and Intellectual Property Rights)

  1. 1.Users may only post event information, text, images, etc., for which they hold the necessary intellectual property rights such as copyright, or for which they have obtained permission from the rights holders, using the Service.
  2. 2.The copyright of event information, text, images, etc., posted by Users using the Service shall be retained by the respective Users or existing rights holders. However, the Company may use such content for the purpose of operating and improving the Service, and Users shall not exercise their moral rights of authorship with respect to such use.
  3. 3.All copyrights and other intellectual property rights related to the Service and all information associated with the Service belong to the Company or rights holders who have licensed the Company to use them, and Users shall not reproduce, transfer, lend, translate, modify, repost, publicly transmit, distribute, publish, or commercially use them without permission.

Article 7 (Usage Restrictions and Account Deletion)

  1. 1.The Company may delete data and restrict usage or cancel registration without prior notice if a User falls under any of the following:
  1. 2.If a User falls under any of the preceding items, they shall lose the benefit of time for all debts owed to the Company and must immediately make payment.
  2. 3.The Company shall not be liable for any damages incurred by Users as a result of actions taken under this Article.

Article 8 (Rights to User Content)

The intellectual property rights of content (event information, text, images, etc.) posted by Users to the Service belong to the Users. However, Users are deemed to have granted the Company permission to use such content to the extent necessary for the operation of the Service. The scope of use includes publication, reproduction, distribution, and modification.

Article 9 (Retention Period)

The Company currently does not set a retention period for calendar information and event data. However, in unavoidable circumstances such as service termination or plan changes, access may become unavailable with prior notice.

Article 10 (Withdrawal)

Users may withdraw from the Service through the withdrawal procedure prescribed by the Company.

After withdrawal, User data (event information, text, images, etc.) will be deleted.

Article 11 (Disclaimer of Warranty and Limitation of Liability)

  1. 1.The Company does not warrant, either expressly or implicitly, that the Service is free from defects in fact or in law.
  2. 2.The Company shall not be liable for any damages incurred by Users arising from the Service, except in cases of intentional misconduct or gross negligence on the part of the Company.
  3. 3.If a User claims damages from the Company in connection with the use of the Service, the amount of compensation shall be limited to the total amount of usage fees paid by the User for the relevant service (excluding cases of intentional misconduct or gross negligence on the part of the Company).

Article 12 (Changes to Service Content)

The Company may change, add to, or discontinue the content of the Service with prior notice to Users. Users shall accept this.

Article 13 (Changes to Terms of Service)

  1. 1.The Company may change these Terms at any time without notice to Users if it deems it necessary.
  2. 2.If a User begins using the Service after these Terms have been changed, they shall be deemed to have agreed to the revised Terms.
  3. 3.The Company shall publicize changes to these Terms by posting on the Service or other appropriate methods at least one week before the effective date.

Article 14 (Handling of Personal Information)

The Company shall handle personal information obtained through the use of the Service appropriately in accordance with the Company's Privacy Policy.

Article 15 (Notices and Communications)

Notices or communications between Users and the Company shall be made by the method prescribed by the Company. The registered contact information shall be deemed valid, and notices shall be deemed to have reached the User at the time of dispatch.

Article 16 (Prohibition of Transfer of Rights and Obligations)

Users may not transfer or pledge their status or rights and obligations under the usage agreement to any third party without the prior written consent of the Company.

Article 17 (Governing Law and Jurisdiction)

  1. 1.The interpretation of these Terms shall be governed by the laws of Japan.
  2. 2.In the event of any dispute arising in connection with the Service, the court having jurisdiction over the location of the Company's head office shall have exclusive agreed jurisdiction.

Article 18 (Handling of Data)

  1. 1.The Company may use event information, text, images, and other content uploaded by Users through the Service (hereinafter referred to as "User Content") for the following purposes:
  1. 2.Ownership of User Content belongs to the User. The Company has the right to use, store, and reproduce User Content to the extent necessary for service provision.
  2. 3.The Company will not sell User Content to third parties or use it for advertising purposes without the explicit permission of the User.
  3. 4.The Company employs industry-standard technologies, including encryption of data in transit and at rest, to protect User Content.
  4. 5.The Company will not disclose User Content to third parties without the User's consent, except when required by law.
  5. 6.After termination of use of the Service, the Company will delete User Content within an appropriate period. However, this shall not apply where required by law.

Article 19 (Use of Information for Statistical Purposes)

  1. 1.The Company may process User Content and information regarding usage into a format that does not identify individuals and use it as statistical information.
  2. 2.Statistical information shall be used for purposes such as improving the Service, developing new features, and optimizing service provision.
  3. 3.Even when using statistical information, information that can identify individual Users will not be provided to third parties.

Article 20 (Confidentiality)

  1. 1.Users and the Company shall not disclose or leak confidential information of the other party learned through the use of the Service to any third party without the written consent of the other party.
  2. 2.The obligations under the preceding paragraph shall continue even after these Terms have ended.
  3. 3.The following information is not included in confidential information:

Article 21 (Severability)

Even if any provision of these Terms is determined to be invalid or unenforceable by law, the remaining provisions shall continue to be effective.
